Terms of Service

Dublin Friends Meetup is an online community operated by DFM Digital Ltd, designed to help people connect, make friends, discover activities, and share plans with others. References to "we", "our", or "us" in these Terms mean DFM Digital Ltd operating Dublin Friends Meetup.

Members can:

• Create and share plans they are attending, visiting, or spontaneously organizing.
• Show interest and comment on plans.
• View member profiles.
• Send and receive private messages.
• Block other users.
• Report content, messages, or user profiles.

Dublin Friends Meetup does not organize, verify, supervise, or guarantee any plans created or shared by members unless explicitly stated.

You must be at least 18 years old to use the Platform.

By creating an account, you confirm that:

• You are at least 18 years old.
• The information you provide is accurate.
• You have the legal capacity to enter into this agreement.

We reserve the right to suspend or terminate accounts suspected of being operated by persons under 18 years of age.

You are responsible for maintaining the security of your account.

You may choose a username and may adjust your privacy settings where available. You agree not to:

• Create accounts for fraudulent purposes.
• Impersonate another person.
• Share your account with others.
• Use automated systems or bots to access the Platform.

You are responsible for all activity conducted through your account.

You retain ownership of content you create on the Platform, including plans, comments, profile information, profile photographs, and messages.

By submitting content, you grant Dublin Friends Meetup a non-exclusive, worldwide, royalty-free license to host, display, store, reproduce, and use such content for the operation, improvement, promotion, and administration of the Platform.

You are solely responsible for the content you post.

You agree not to:

• Harass, threaten, intimidate, or abuse other users.
• Engage in hate speech, discrimination, or bullying.
• Share illegal, misleading, or harmful content.
• Send spam, unsolicited advertising, or scams.
• Share sexually explicit content.
• Stalk, dox, or invade another person's privacy.
• Encourage unlawful or dangerous activities.
• Use the Platform for commercial solicitation without permission.

We reserve the right to remove content, restrict functionality, suspend accounts, or permanently ban users who violate these standards.

Private messages are intended for communication between members. Messages are not routinely monitored.

However:

• Administrators may access reported conversations as part of an investigation.
• Administrators may review message content when necessary to investigate reports, enforce these Terms, comply with legal obligations, or protect the safety of users.

By using the messaging system, you acknowledge and agree to this process.

Members may report posts, comments, private messages, and user profiles.

We may investigate reports and take appropriate action, including:

• Content removal
• Warnings
• Temporary suspensions
• Permanent account bans

Moderation decisions are made at our discretion.

The Platform provides tools that allow members to block other users. Blocking functionality is intended to help members manage unwanted interactions.

Users must not attempt to circumvent another member's block settings through alternate accounts or other means.

The Platform enables members to connect with each other and share plans. You acknowledge that:

• You interact with other members entirely at your own risk.
• Dublin Friends Meetup does not conduct criminal background checks on members.
• We do not verify the identity, conduct, intentions, qualifications, or safety of any member.
• We cannot guarantee that information provided by users is accurate.
• We are not responsible for the actions of any member, whether online or offline.

You should use reasonable caution and judgment when communicating with or meeting other members.

When participating in any activity, meetup, event, gathering, or plan shared through the Platform, you accept full responsibility for your own actions, safety, health, and personal belongings.

Dublin Friends Meetup shall not be liable for:

• Injuries
• Accidents
• Property damage
• Theft
• Financial losses
• Disputes between members
• Any harm resulting from participation in activities arranged through the Platform

Dublin Friends Meetup may offer native ticketing so organizers can sell free or paid tickets to plans on the Platform. This section applies when you buy a ticket or when you enable tickets as an organizer. Free social plans without tickets are unaffected.

11.1 Our role

For paid tickets, DFM Digital Ltd (operating Dublin Friends Meetup) acts as the ticketing platform and payment facilitator. We process payments, hold funds as described below, deduct platform and processing fees (and applicable taxes on our fees), and pay organizers according to the payout schedule. You contract with DFM Digital Ltd for the payment for a ticket; the organizer hosts the event and sets the ticket price and refund policy. We are not the organizer of the underlying event unless we expressly say so.

11.2 Fees and VAT

Dublin Friends Meetup charges a platform fee on paid tickets. The fee schedule may be updated from time to time and is shown in the product when you create or buy tickets. We charge VAT at 23% on the platform fee only, shown as a separate line where fees are displayed. Card processing costs charged by our payment provider are generally absorbed within our fee model and are not itemized to buyers as a separate line unless we state otherwise.

11.3 Pass-on vs absorb (organizer choice)

For each ticketed plan, the organizer chooses whether buyers pay the platform fee and VAT on that fee ("pass on") or whether those amounts are deducted from the organizer's proceeds ("absorb"). Checkout and confirmations will reflect that choice.

11.4 Refunds

The organizer selects a refund policy for each plan (for example Flexible, Moderate, or Strict). The applicable policy is shown when you buy. Buyers request refunds through Dublin Friends Meetup. If the organizer cancels the plan, paid tickets are refunded as described in the product. When a refund is within the published policy, the Dublin Friends Meetup platform fee (and VAT charged on that fee) is returned as disclosed. Payment-provider processing costs are returned only if the provider returns them; otherwise they are not refunded.

11.5 Payouts

Organizer proceeds for paid tickets are generally released to the organizer's connected payout account at event start plus two (2) days, after which bank payouts follow the connected account's payout schedule. We may delay, withhold, or reverse payouts for fraud, risk, legal, or compliance review.

11.6 Chargebacks and disputes

If a buyer disputes a payment with their card issuer, Dublin Friends Meetup manages the dispute with our payment provider. As an organizer, you agree that we may recover losses arising from successful disputes relating to your event, including the disputed amount and applicable dispute fees. If you have already been paid, we may recover those amounts from future payouts or by requiring direct reimbursement.

11.7 Confirmations and receipts

Buyers receive a ticket confirmation from Dublin Friends Meetup. Where legally required, Dublin Friends Meetup issues a payment receipt:

• Pass on: the buyer receipt shows ticket price, platform fee, VAT on the fee, and total paid.
• Absorb: the buyer confirmation/receipt shows the amount paid for the ticket; fee and VAT are not charged to the buyer and appear on the organizer's payout statement instead.

Organizers receive payout statements showing sales, fees, VAT on fees, refunds or chargebacks (if any), and net payout. Our payment provider may also send its own charge confirmation; Dublin Friends Meetup's receipt and statements are the documents that itemize platform fee and VAT.

11.8 Organizer responsibilities

If you sell tickets on the Platform, you agree to:

• Provide accurate event details and honour valid tickets.
• Complete any required payout onboarding before offering paid tickets.
• Comply with applicable law for your events (including consumer and tax rules that apply to you as host).
• Accept the chargeback and clawback terms in section 11.6.

You may delete your account at any time through your account settings.

Upon account deletion:

• Your profile will be removed.
• Your personal data will be deleted in accordance with our Privacy & Cookie Policy.
• Your plans, comments, messages, and associated content may be removed from the Platform.

Some information may be retained where required by law or for legitimate security, fraud prevention, or legal purposes (including payment and ticket records).

We strive to keep the Platform available and functioning properly. However, we do not guarantee uninterrupted access and may modify, suspend, or discontinue features at any time without liability.

The Platform is provided on an "as is" and "as available" basis. We make no warranties regarding:

• Accuracy of user-generated content.
• Availability of the Platform.
• Conduct of users.
• Success of social connections, friendships, meetups, or activities arranged through the Platform.
• Events or experiences for which tickets are sold through the Platform.

To the maximum extent permitted by law, Dublin Friends Meetup, its owners, administrators, volunteers, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Use of the Platform.
• User-generated content.
• Communications between members.
• Activities arranged through the Platform.
• Interactions occurring online or offline.
• Ticket purchases, refunds, payouts, or payment-provider actions, except as required by law.

We may suspend or terminate any account at our discretion if we believe a user has violated these Terms, created safety concerns, engaged in unlawful conduct, or otherwise harmed the community.

We may update these Terms of Service from time to time. Continued use of the Platform following any update constitutes acceptance of the revised Terms. Material updates to ticketing or payment terms may also be highlighted in the product where appropriate.

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
